Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and M-Flat, Inc., a Delaware corporation doing business as pıut ("M-Flat," "pıut," "we," "us," or "our"), located at 2810 N. Church Street, Wilmington, DE 19802.

By accessing or using the pıut platform, website, APIs, MCP (Model Context Protocol) server, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

2. Description of Service

pıut is a "Second Brain as a Service" (SBaaS) platform that enables users to build, manage, and share structured personal knowledge bases ("Contexts") with AI systems. The Service includes:

• A web-based dashboard for creating and managing your Context content
• AI-assisted Context generation and processing powered by third-party AI models
• An MCP-compatible server endpoint that allows AI clients to access your Context
• Encryption of Context content at rest
• User authentication and account management
• Subscription-based billing and payment processing

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

4. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You may register using Google OAuth or email/password authentication. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

5. Subscriptions and Payments

5.1 Free Trial

New users may be eligible for a 14-day free trial. During the trial period, you will have access to the Service features associated with your selected plan. At the end of the trial, your subscription will not automatically convert to a paid plan — you must actively subscribe to continue using the Service.

5.2 Subscription Plans

The Service offers multiple subscription tiers with varying features, usage limits, and pricing. Current plan details are available on our pricing page. We reserve the right to modify plan features and pricing with reasonable notice to existing subscribers.

5.3 Payment Processing

All payments are processed through Stripe, Inc. ("Stripe"). By subscribing to a paid plan, you agree to Stripe's terms of service. You authorize us to charge the payment method on file for all applicable subscription fees. All fees are stated in U.S. dollars unless otherwise indicated.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through the dashboard billing page. Upon cancellation, you will retain access to the Service through the end of your current billing period. We do not provide pro-rated refunds for partial billing periods. Refund requests for exceptional circumstances may be submitted to contact@mflatglobal.com.

6. User Content

6.1 Ownership

You retain full ownership of all content you submit, upload, or create through the Service, including all Context content ("User Content"). We do not claim any intellectual property rights over your User Content.

6.2 License Grant

By using the Service, you grant M-Flat a limited, non-exclusive, worldwide license to host, store, encrypt, transmit, and display your User Content solely for the purpose of operating and providing the Service to you. This license terminates when you delete your User Content or your account.

6.3 AI Processing

Certain features of the Service use third-party AI models (including Anthropic's Claude) to process, generate, or enhance your Context content. By using these features, you acknowledge that your content may be sent to third-party AI providers for processing in accordance with their respective terms and privacy policies. We do not use your User Content to train AI models.

6.4 MCP Access

When you enable your MCP endpoint, your Context content is made accessible to AI clients that connect to your endpoint using your unique URL and API key. You are responsible for managing who has access to your MCP endpoint URL and API key. You acknowledge that any AI client with your endpoint credentials can read your Context content.

6.5 Prohibited Content

You agree not to submit User Content that:

• Violates any applicable law, regulation, or third-party rights
• Contains malware, viruses, or any harmful code
• Is fraudulent, deceptive, or misleading
• Promotes violence, harassment, discrimination, or illegal activities
• Infringes on any intellectual property rights of others
• Contains personally identifiable information of others without their consent
• Is designed to manipulate, exploit, or abuse AI systems

7. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to the Service, other accounts, or systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means (bots, scrapers, etc.) to access the Service beyond approved API/MCP usage
• Exceed your plan's usage limits or circumvent rate limiting
• Resell, sublicense, or redistribute access to the Service without our written consent
• Use the Service to build a competing product or service
• Attempt to bypass, disable, or circumvent any security features of the Service
• Impersonate any person or entity or misrepresent your affiliation

8. Intellectual Property

The Service, including its design, code, features, documentation, branding, logos, and all related intellectual property, is owned by M-Flat, Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

"pıut," "M-Flat," and related logos are trademarks of M-Flat, Inc. You may not use these marks without our prior written consent.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

10. Security and Encryption

We encrypt Context content at rest using AES-256-GCM encryption with per-user encryption keys. While we implement industry-standard security measures, no system is completely secure. You acknowledge that you use the Service at your own risk and that we cannot guarantee absolute security of your data.

You are responsible for maintaining the security of your account credentials and MCP endpoint API keys. If you believe your account or API key has been compromised, contact us immediately at contact@mflatglobal.com.

11. Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to:

• Supabase — database hosting and authentication
• Stripe — payment processing
• Anthropic (Claude) — AI processing
• Vercel — application hosting
• Resend — transactional email delivery
• Google — OAuth authentication

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the actions, content, or data practices of these third-party providers.

12. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

We reserve the right to impose or modify usage limits, rate limits, storage limits, or other restrictions on the Service at any time.

13. Termination

You may terminate your account at any time by contacting us at contact@mflatglobal.com. We may suspend or terminate your account and access to the Service at our sole discretion if:

• You violate these Terms or any applicable law
• Your account has been inactive for an extended period
• We reasonably believe your use poses a security risk
• We are required to do so by law

Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export your data before deletion. Your User Content may be deleted within 30 days of account termination, after which it cannot be recovered.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT GENERATED BY AI FEATURES OF THE SERVICE. AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR BIASES. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ANY AI-GENERATED CONTENT BEFORE RELYING ON IT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL M-FLAT, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

16. Indemnification

You agree to indemnify, defend, and hold harmless M-Flat, Inc. and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

17.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware. The arbitrator's decision shall be final and binding.

17.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against M-Flat, Inc.

17.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and M-Flat, Inc. regarding the Service and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

18.5 Notices

19. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
